Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by CauseNFT ("we", "us", or "our"), a business operating out of Ontario, Canada. The services include our software application ("App") that uses stable diffusion to generate and mint artificial intelligence ("AI") image Non-Fungible Tokens ("NFTs") using the user submitted images to train generative models.

1. Agreement to Terms

By accessing and using our App, you agree to these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use our App.

2. Changes to Terms

We reserve the right to change or modify these Terms at any time. If we make changes, we will provide notice of such changes. Your continued use of our App after the notice of the revised Terms constitutes your acceptance of the changes.

3. Your Use of the App

You must only use our App for lawful purposes and in accordance with these Terms. You are responsible for all activity that occurs under your user account.

4. Intellectual Property

You retain ownership of any intellectual property rights that you hold in the images you submit to us ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive, perpetual, and irrevocable license to use, copy, modify, distribute, and process your User Content to generate and mint AI image NFTs, and for the operation, promotion and improvement of our App. You also represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any User Content that you submit.

5. Non-Fungible Tokens (NFTs)

By using our App, you acknowledge and agree that the creation, ownership, transfer, and use of NFTs involve risks and uncertainties. We make no representations or warranties as to the value, utility, or legality of any NFTs generated through our App.

6. Limitation of Liability

To the fullest extent permitted by applicable law, CauseNFT will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, good-will, or other intangible losses resulting from your access to or use of or inability to access or use the App or any conduct or content of any third party on the App, including without limitation, any defamatory, offensive or illegal conduct of other users or third parties.

7. Governing Law and Jurisdiction

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts located within the province of Ontario, Canada.
